Draft — not yet in force. This page sets out the intended structure of our terms. The clauses marked to be confirmed have not been settled or reviewed, and nothing on this page should be relied on as a contract. For the terms that currently apply to an order or a subscription, please contact us.

1. Who these terms are between

These terms are between Optical Technologies Limited ("we", "us"), registered in England and Wales, whose registered office is at AMP Technology Centre, Brunel Way, Rotherham, S60 5WG, and the person or organisation using the O4QR platform or ordering security labels from us ("you").

They cover three things that are bought separately and may be bought independently: the O4QR platform subscription, allowances of codes and records, and printed security labels.

2. Accounts

You are responsible for the accuracy of the account details you give us, for the users you invite, and for what is done under your account. Tell us promptly if you believe an account has been compromised.

to be confirmed Minimum age, eligibility, and whether accounts may be transferred between legal entities.

3. Acceptable use

You may not use the platform to encode or serve unlawful content, to impersonate another business, or to represent goods as authenticated that you have no right to authenticate. We may suspend an account that is doing so.

to be confirmed The suspension process: notice period, right to remedy, and what happens to live codes during a suspension. This matters more here than in most products, because suspending an account takes down codes already printed on physical goods in the field.

4. Plans, allowances and payment

Plans and allowances are described on our pricing page. Volume is bought separately from the plan tier, so an allowance can be topped up without changing plan.

5. What happens when a subscription ends

On expiry an account becomes read-only: existing codes continue to resolve and scan data remains visible, but new codes and records cannot be created.

to be confirmed How long a read-only account is retained, what notice is given before data is deleted, and how to export beforehand. Codes printed on physical goods outlive the subscription that created them, so this clause needs to say plainly for how long they keep resolving.

6. Printed labels

Orders for printed security labels are quoted individually and are subject to separate acceptance by us.

7. Your data and your customers' data

How we handle personal data is set out in our Privacy Policy, which forms part of these terms. In short: scan data is collected on your behalf and you remain the controller of it.

8. Intellectual property

We keep ownership of the platform, the label constructions and our brand. You keep ownership of your content, your product data and your brand, and you grant us only the licence needed to operate the service for you.

to be confirmed Whether we may name you as a customer or show your labels as samples.

9. Availability

to be confirmed Whether any uptime commitment is offered, and if so what it covers. Note that scan resolution — a consumer scanning a label and getting an answer — is a different and more critical path than access to the dashboard, and may warrant a different commitment.

10. Liability

to be confirmed Limitation and exclusion of liability, and the cap. This clause must be settled by a solicitor; a limitation clause that is not reasonable under the Unfair Contract Terms Act 1977 is unenforceable, and an unenforceable cap is no cap at all.

11. Changes to these terms

to be confirmed How much notice is given of a change, and what happens if you do not accept it.

12. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
